Terms and Conditions of Use

Subjourney Pty Ltd (ACN 696 822 983) · Last updated: 27 October 2026

1. About Subjourney

1.1 Welcome to Subjourney (the Application), a software application that you install and run on your own device. The Application provides you with access to the Subjourney services (the Services).

1.2 The Application is provided by Subjourney Pty Ltd (ACN 696 822 983) (we, us or our). Please read these terms and conditions (Terms) carefully. By installing, accessing or using the Application, or by clicking to accept these Terms where that option is presented, you confirm that you have read, understood and agree to be bound by the Terms. If you do not agree with the Terms, you must not install or use the Application, and must cease using the Services and uninstall the Application.

1.3 We reserve the right to review and change any of the Terms at our discretion. When we make a material change, we will use reasonable endeavours to notify you (for example, through the Application or by email). Changes take effect 14 days after we publish or notify them, except where a change is required by law or to address a security issue, in which case it may take effect immediately. Your continued use of the Application after a change takes effect constitutes your acceptance of the amended Terms. If a material change adversely affects you, you may cancel your Subscription and close your Account before the change takes effect and, in accordance with clause 9, request a refund of the fees you have paid for the remainder of your current billing period. We recommend you keep a copy of the Terms for your records.

2. Acceptance of the Terms

2.1 You accept these Terms by clicking to accept or agree to them where that option is presented (for example, when you install the Application, create an account, or first launch the Application), or, where no such option is presented, by installing, accessing or using the Application. If you accept these Terms on behalf of a company or other organisation, you warrant that you have authority to bind that organisation, and "you" refers to that organisation.

3. About the Service

3.1 Subjourney is a software application designed to turn the scattered documents, systems and know-how about how your organisation works into one clear, easy-to-maintain map that both your people and your AI tools can use.

3.2 The Application is currently offered on a beta basis. You can use it free of charge on our free plan, which includes a number of AI credits. You can also subscribe to a paid plan at a discounted beta price (a Subscription), billed monthly or annually, which includes a larger number of AI credits for each billing period. AI credits are consumed when you use certain AI-powered features of the Application. The plans and features offered, the AI credits included, our prices, and the overall commercial model may change from time to time, including when the beta period ends and the discounted beta price no longer applies. We will use reasonable endeavours to notify you of material changes before they take effect. Particular accounts may be governed by separate terms specific to that account, in which case you will be informed and must accept those terms before the account is provided. For the avoidance of doubt, these Terms apply unless otherwise agreed or amended by account-specific terms.

3.3 Beta software. The Application is in beta. It is still being developed and tested, and is provided on an "as is" and "as available" basis. It may contain errors, may not work as described, and may produce journeys, personas, simulated runs, findings, suggested fixes and other output that is inaccurate, incomplete or misleading. You are responsible for checking any output before you rely on it, and to the extent permitted by law we are not responsible for errors in it. Clauses 11 and 12 set out these terms in full.

4. Acceptable use of the Service

4.1 You must use the Application and the Services lawfully. We may suspend, restrict, cancel or deny access to your account and to any cloud-based or AI-powered features of the Services if you use them:

(a) to engage in any act that disrupts the access, availability or security of the Services or our systems, including tampering with, hacking or attempting to gain unauthorised access to our servers; modifying, disabling or compromising the performance of the Services; imposing an unreasonably large load on our infrastructure; or probing, scanning or testing the vulnerability of our systems without our express permission;

(b) to reverse engineer, decompile, disassemble or attempt to derive the source code of the Application, except to the extent this restriction cannot lawfully be excluded;

(c) for any illegal purpose, or to violate any law, including data, privacy and export-control laws;

(d) to process, upload or submit content that you do not have the right to process, or that infringes the intellectual property, privacy or confidentiality rights of any third party;

(e) to stalk, harass, threaten, defraud or impersonate any person, or to falsely imply any sponsorship or association with us or any third party;

(f) to access or search any part of the Services other than through our publicly supported interface;

(g) to scrape, crawl, spider, harvest or use automated tools to extract or systematically collect content, pricing information or other materials from the Services or our website without our prior written permission;

(h) to resell, sublicense, share or transfer your account or AI credits, or to circumvent, manipulate or artificially inflate AI credit usage or any usage limit; or

(i) to use the Application or the Services to build, train or improve a competing product or service.

5. Security and Data Privacy

5.1 Subjourney Pty Ltd takes your privacy seriously. Personal information and other data we collect through your use of the Application and the Services are handled in accordance with our Privacy Policy, which is available within the Application and on our website. The Privacy Policy explains what information we collect, how we use, store and disclose it (including to the third-party providers described in clause 6), how we protect it, and our processes and obligations in respect of data security and eligible data breaches.

5.2 Your projects and files are stored locally on your own device. You are responsible for maintaining the security of your device and of any content you store locally, including keeping your own backups. Our security obligations apply to the systems and data within our control.

5.3 You are responsible for keeping your account credentials confidential and for activity carried out through your Account, except to the extent caused by our breach. You must notify us promptly if you become aware of, or suspect, any unauthorised access to or use of your Account.

6. Data Use

6.1 Data associated with your use of the Application falls into the following categories, each handled differently:

(a) Local content. The projects, documents and files you create or import remain stored locally on your device. We do not collect, store or retain copies of this content on our systems, except to the limited extent described in clauses 6.1(b) and 6.1(c).

(b) Account and usage data. We collect and store certain data to operate and improve the Services, including your account and contact details, billing and payment information, and information about how you use the Application. This includes logs of your AI feature usage, such as the prompts sent and the size of AI requests, which may contain content you have submitted. We use this data to operate, meter and enforce AI credit limits, to produce reporting, and to improve the Services. Some of this data is processed by third-party analytics providers (such as PostHog), who may store it outside Australia. This data is handled in accordance with our Privacy Policy.

(c) Content processed by AI features. When you use an AI-powered feature, content is sent from your device to third-party AI providers (such as OpenAI and Anthropic) to be processed. This content may include not only any text you enter, but also relevant context from your project, such as the files you have added, the project's current state, and its contents (for example, the map, personas, issues and other elements you have created). Any information contained in that content, including any personal information stored in your project or files, is sent to and processed by those providers, who may store it and process it outside Australia under their own terms. We do not send your account or billing details to these providers. A current list of our AI subprocessors is available in our Privacy Policy. By using AI features you consent to this, and you are responsible for the content sent and your right to submit it (see clause 4). You must also comply with the acceptable use policies of those AI providers, as referred to in our Privacy Policy.

6.2 We use the data described above to provide, operate, secure and improve the Application and the Services, and to run our business operations. Our Privacy Policy explains how we collect, store, use, disclose and delete this data, and how you can make requests in respect of it.

7. Accounts and access

7.1 To use the Services you must register for an account (Account). You can use the Application free of charge on our free plan, or take out a Subscription as described in clause 8.

7.2 Certain AI-powered features consume AI credits. The free plan includes a number of AI credits, and each Subscription includes a number of AI credits for each billing period, as described in the Application or on our website when you choose it. AI credits included with a Subscription do not carry over: any that remain unused at the end of a billing period expire.

7.3 We may change our plans and prices from time to time, including when the beta period ends and the discounted beta price no longer applies. We will notify you before a price change applies to your Subscription. The new price will apply from your next billing period after that notice, and you may cancel your Subscription before then if you do not wish to continue.

7.4 As part of registration, or as part of your continued use of the Services, you may be required to provide personal information such as your name, email address, contact details and payment information.

7.5 You warrant that the information you provide to us is accurate, correct and up to date, and you agree to keep it up to date.

7.6 On completing registration you become a registered user of the Application (User) and agree to be bound by these Terms. You will have access to the Services from the time your Account is created until your Account or these Terms are terminated in accordance with clause 13.

7.7 It is your responsibility to ensure the Application is suitable for your intended use.

7.8 You may not use the Services or accept these Terms if:

(a) you are under 18 years of age, or otherwise not of legal age to form a binding contract with us; or

(b) you are barred from receiving the Services under any applicable law, including the law of the country in which you reside or from which you use the Services.

8. Payments

8.1 You may take out a Subscription through the Application or our website. Subscriptions are billed in advance, monthly or annually depending on the plan you choose, and renew automatically at the end of each billing period at the then-current price until you cancel. Prices are shown at the time of purchase and are inclusive of GST where applicable.

8.2 You can cancel your Subscription at any time through the Application or by contacting us. Cancellation takes effect at the end of your current billing period: you keep your Subscription and its AI credits until then, after which your Account moves to the free plan. Except as required by the Australian Consumer Law, or as set out in clause 9, we do not provide refunds or credits for part of a billing period, or for AI credits that remain unused.

8.3 Payments are processed by third-party payment providers that we do not own, operate or control. You acknowledge that we are not liable for any loss or damage arising from the operation of those providers, and you agree that you have read and will comply with their terms and conditions when you use them to pay.

8.4 If a payment is returned, denied or reversed by your financial institution, or is otherwise unpaid, you are liable for any resulting costs, including banking fees and charges, and we may suspend your Subscription, or move your Account to the free plan, until the payment is made.

9. Refund Policy

9.1 We provide refunds in accordance with the Australian Consumer Law and on the terms set out in these Terms. Any refund rights set out in these Terms apply in addition to your rights under the Australian Consumer Law, which cannot be excluded.

9.2 Subscription fees are otherwise non-refundable. If we are unable to continue providing the Services, we will refund the fees you have paid for the remainder of your current billing period. In any other case, we may provide a refund where we consider, acting reasonably, that it is appropriate in the circumstances. Any refund is limited to the fees you paid for the part of the billing period that remains.

10. Copyright and Intellectual Property

10.1 The Application, the Services, our website and all related products of Subjourney Pty Ltd, including their software, code, design, text, graphics and logos, are protected by copyright and other intellectual property rights under the laws of Australia and international treaties. Unless otherwise indicated, all such rights are owned or controlled by, and reserved to, Subjourney Pty Ltd or its licensors.

10.2 We grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the Application on devices you own or control, and to use the Services, for your own business or personal purposes in accordance with these Terms. This licence continues while you are a User and ends when your access is terminated.

10.3 We do not grant you any other rights in relation to the Application or the Services. All rights not expressly granted are reserved by us.

10.4 We retain all right, title and interest in and to the Application and the Services. Nothing you do in relation to the Application or the Services transfers to you any business name, trading name, domain name, trade mark, patent, registered design, copyright or other intellectual property right, or any right to use or exploit any of them.

10.5 Except as permitted by these Terms or by law, you must not copy, reproduce, republish, distribute, adapt, modify, publicly display or create derivative works from the Application, the Services or their underlying software without our prior written permission.

10.6 You retain all right, title and interest in the content you create using the Application (User Content). You grant us a limited, non-exclusive, royalty-free licence to access, process, transmit and store your User Content only to the extent necessary to provide the Services to you, including transmitting it to third-party AI providers when you use AI features and logging it as described in clause 6. You must not create User Content that infringes the rights of any third party or breaches clause 4.

10.7 As between you and us, we do not claim ownership of any output generated for you through the AI-powered features, and we assign to you any rights we may have in it to the extent permitted by law. That output forms part of your User Content. You acknowledge that AI-generated output may not be unique, that similar output may be generated for other users, and that output may be inaccurate or incomplete and should be reviewed before you rely on it.

10.8 If you choose to give us feedback, suggestions or ideas about the Application or the Services, you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use them without restriction or any obligation to you.

11. General Disclaimer

11.1 Nothing in the Terms limits or excludes any guarantees, warranties, representations or conditions implied or imposed by law, including the Australian Consumer Law (or any liability under them) which by law may not be limited or excluded.

11.2 Subject to this clause, and to the extent permitted by law:

(a) all terms, guarantees, warranties, representations or conditions which are not expressly stated in the Terms are excluded; and

(b) Subjourney Pty Ltd will not be liable for any special, indirect or consequential loss or damage (unless such loss or damage is reasonably foreseeable resulting from our failure to meet an applicable Consumer Guarantee (as defined in the Australian Consumer Law)), loss of profit or opportunity, or damage to goodwill arising out of or in connection with the Services or these Terms (including as a result of not being able to use the Services or the late supply of the Services), whether at common law, under contract, tort (including negligence), in equity, pursuant to statute or otherwise; and

(c) notwithstanding the above, nothing in these Terms excludes, restricts or modifies any Consumer Guarantee or other right or remedy conferred by the Australian Consumer Law that cannot be excluded, restricted or modified by agreement; and to the extent our liability for a breach of such guarantee cannot be excluded, our liability is limited (at our election) to resupply of the Services or payment of the cost of having the Services resupplied.

11.3 To the extent permitted by law, your use of the Application and the Services is at your own risk, and they are provided on an "as is" and "as available" basis without warranty or condition of any kind. None of Subjourney Pty Ltd's affiliates, directors, officers, employees, agents, contributors or licensors makes any express or implied representation or warranty about the Application or the Services. This includes, but is not limited to, any loss or damage you may suffer as a result of:

(a) any failure of performance, error, omission, interruption, defect, delay in operation or transmission, computer virus or other harmful component, loss of data, or unauthorised access to, alteration or destruction of records;

(b) the accuracy, suitability or currency of any information provided through the Application or the Services, including any output generated by AI features;

(c) costs incurred as a result of your use of the Application or the Services; and

(d) any third-party websites, services or content linked to or accessed through the Application.

11.4 You acknowledge that the Application is currently provided on a beta (pre-release) basis. This means it may contain errors or defects, may not operate reliably or without interruption, and may be changed, suspended or discontinued at any time. To the extent permitted by law, the Application is provided without the warranties that would otherwise apply to a full release. Because your projects and files are stored locally on your device, you are responsible for keeping your own backups, and to the extent permitted by law we are not liable for any loss of or damage to locally stored data.

11.5 Everything the Application produces for you, including journeys and maps built from your documents, personas, simulated runs, findings and issues, suggested fixes, and any other content generated by AI features (together, Output), is generated automatically and may contain errors. Output may be inaccurate, incomplete, out of date, inconsistent with your source documents, or unsuitable for your purpose, and a simulated run is not a substitute for testing with real people or for professional review. To the extent permitted by law:

(a) we do not warrant that any Output will be accurate, complete, current or suitable for any particular purpose;

(b) you are solely responsible for reviewing, checking and verifying any Output before you rely on it, act on it, or publish or share it, including before you change any document, policy, product or process because of it; and

(c) we are not responsible or liable for any error in Output, or for any loss or damage arising from your reliance on Output.

11.6 The Application uses third-party AI providers to deliver certain features. We do not control, and are not responsible for, the availability, performance or output of those third-party AI providers.

11.7 The Application and the Services are a software and decision-support tool. They do not constitute legal, financial, regulatory, professional or other advice. You are responsible for evaluating and validating any information, recommendation or AI-generated output before relying on or acting on it.

12. Limitation of Liability

12.1 This clause applies subject to clause 11 and does not exclude, restrict or modify any consumer guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded, restricted or modified.

12.2 To the extent permitted by law, our total aggregate liability arising out of or in connection with the Application, the Services or these Terms, however arising, including under contract, tort (including negligence), in equity, under statute or otherwise, is limited to the greater of: (a) the total amount you paid to us in Subscription fees in the 12 months before the event giving rise to the liability; and (b) the resupply of the Services or the cost of having the Services resupplied.

12.3 To the extent permitted by law, Subjourney Pty Ltd and its affiliates, employees, agents, contributors and licensors will not be liable to you for any indirect, incidental, special, consequential or exemplary loss or damage, or for any loss of profit, revenue, goodwill or business reputation, or loss of or damage to data, however caused and under any theory of liability.

13. Termination of Contract

13.1 The Terms will continue to apply until terminated by either you or by Subjourney Pty Ltd as set out below.

13.2 You may terminate these Terms at any time by closing your Account (where we make that option available) and ceasing to use the Services. You may uninstall the Application at any time.

13.3 We may terminate these Terms, or suspend or restrict your access to the Services, if:

(a) you breach any provision of these Terms or any applicable law;

(b) we are required to do so by law; or

(c) we decide to discontinue the Application or the Services, or consider that providing them to you is no longer commercially viable.

Where we terminate under clause 13.3(c) we will give you reasonable notice where practicable. Where you have breached these Terms or the law, or your conduct risks harm to us, other users or any third party, we may suspend or terminate your access immediately and without notice.

13.4 On termination, your right to use the Services, any Subscription and any remaining AI credits ends. If we terminate for a reason other than your material breach, we will refund the fees you have paid for the remainder of your current billing period in accordance with clause 9. If we terminate because of your material breach, no refund is due, except as required by the Australian Consumer Law.

13.5 Your projects and files are stored locally on your own device. We do not host or retain copies of your projects or files on our servers, and on termination of these Terms, cancellation of your Account, or uninstallation of the Application, they remain on your device under your control and we have no ability to access, export, retain or delete them. You are solely responsible for backing up and managing them, and termination will not remove them. This does not affect the account and usage data, and the AI usage logs, described in clause 6, which we handle as set out in that clause and our Privacy Policy.

13.6 Any notice you need to give us under these Terms should be sent in writing using the contact details or contact form provided in the Application or on our website. We may give you any notice under these Terms by email to your registered email address or by a notice within the Application.

13.7 Clauses that by their nature are intended to survive termination, including the clauses dealing with data use, intellectual property, disclaimers, limitation of liability, indemnity, and governing law and jurisdiction, continue to apply after these Terms end.

14. Indemnity

14.1 To the extent permitted by law, you are liable for, and agree to indemnify us and our affiliates, employees, agents, contributors and licensors against, any loss, damage, cost or expense (including reasonable legal costs) that we suffer or incur arising out of or in connection with:

(a) your User Content, including any claim that it infringes the intellectual property, privacy or other rights of a third party;

(b) your use of the Application or the Services in breach of these Terms or any applicable law; or

(c) any other breach of these Terms by you.

14.2 Your liability to indemnify us under clause 14.1 is reduced proportionally to the extent that our negligence or breach, or that of our personnel, caused or contributed to the relevant loss, damage, cost or expense. Nothing in this clause requires you to indemnify us for any liability to the extent it cannot lawfully be excluded, including under the Australian Consumer Law.

15. Dispute Resolution

15.1 Compulsory. If a dispute arises out of or relates to these Terms (Dispute), neither party may commence any court or tribunal proceedings relating to the Dispute unless the following clauses have been complied with, except where a party seeks urgent interlocutory relief, exercises a right or remedy that cannot be limited by agreement (including under the Australian Consumer Law), makes a complaint to a regulator, or applies to a tribunal in respect of a small claim.

15.2 Notice. A party claiming a Dispute has arisen must give written notice (Notice) to the other party setting out the nature of the Dispute, the desired outcome, and the action required to resolve it.

15.3 Resolution. On receipt of a Notice, the parties must:

(a) within 28 days, endeavour in good faith to resolve the Dispute by negotiation or such other means as they may agree;

(b) if the Dispute is not resolved within 28 days of the Notice, agree on a mediator or, failing agreement, request that the Resolution Institute appoint one;

(c) share equally the mediator's fees and reasonable expenses and any venue costs, with each party otherwise bearing its own costs of the mediation; and

(d) attend a mediation held in Melbourne, Australia, or by remote or online means where the parties agree.

15.4 Confidential. All communications made in connection with negotiation or mediation under this clause are confidential and, so far as possible, are to be treated as "without prejudice" negotiations for the purposes of the applicable laws of evidence.

15.5 Termination of Mediation. If 2 months have elapsed after the start of a mediation of the Dispute and the Dispute has not been resolved, either party may ask the mediator to terminate the mediation, and the mediator must do so.

16. Venue and Jurisdiction

The Application and the Services are directed at users in Australia. Subject to any non-excludable rights you have under the Australian Consumer Law, you agree that the courts of Victoria, Australia have exclusive jurisdiction to hear and determine any dispute arising out of or in connection with these Terms, the Application or the Services.

17. Governing Law

These Terms are governed by the laws of the State of Victoria, Australia, and any dispute arising out of or in connection with these Terms is to be determined in accordance with those laws, without reference to conflict of laws principles. These Terms bind and benefit the parties and their respective successors and permitted assigns.

18. Severance

If any provision of these Terms is found to be void, invalid or unenforceable by a court of competent jurisdiction, that provision is to be read down to the extent necessary to make it valid and enforceable, or, if it cannot be read down, is severed, and the remaining provisions continue in full force.

19. General

19.1 Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and us about your use of the Application and the Services, and replace any earlier terms.

19.2 Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign or transfer our rights and obligations, including in connection with a merger, acquisition, restructure or sale of assets.

19.3 Waiver. If we do not enforce a provision of these Terms, that is not a waiver of our right to do so later.

19.4 Support. We are not obliged to provide support for the Application or the Services, although we may choose to do so.
